Further to our announcement made on 8 February 2013 in relation to the execution of a Shareholders Agreement between the Company’s wholly-owned subsidiary, Old Town (M) Sdn Bhd (“OTM”) and Year Full Group Limited (“YF”) for the establishment of a joint venture company in Hong Kong Special Administrative Region, the Board of Directors of OLDTOWN wishes to announce that the joint venture company known as OTK (HK) INVESTMENT LIMITED (Company No.: 1882060) (“OTK HK”) has been incorporated on 26 March 2013 with an authorised and issued paid-up capital of HKD10,000,000 divided into 10,000,000 ordinary shares of HKD1.00 each of which 5,100,000 ordinary shares (51%) are held by OTM and the remaining 4,900,000 (49%) ordinary shares are held by YF. The principal activities of OTK HK is investment holding. The investment in OTK HK does not have any material effect on the earnings or net assets of Oldtown Group for the financial year ending 31 March 2013. The interests of the substantial shareholders of OLDTOWN, Mr Lee Siew Heng, Mr Goh Ching Mun and Madam Chin Lai Yoong, who are also directors of OLDTOWN are as follows:
