Description | JOINT VENTURE AGREEMENT BETWEEN GOOD AXIS SDN BHD AND BRIGHT AXIOM SDN BHD |
(1) INTRODUCTION The Board of Directors of Weida (M) Bhd. (“Weida” or the “Company”) is pleased to announce that a wholly owned subsidiary of the Company, Good Axis Sdn Bhd (“GASB”) has on 30 January 2013 entered into a Joint Venture Agreement (“JVA”) with Bright Axiom Sdn Bhd (“BASB”) to jointly develop all the piece of freehold agriculture land held under title GM 875, Lot 1597, Mukim Batu, Tempat Sungai Teba, Daerah Kuala Lumpur, Negeri Wilayah Persekutuan measuring a total area of approximately 2.7467 acres (“the JV Land”) into residential/commercial premises (“the Development”) in accordance with the approved building plans, the layout plans, specifications and all other relevant plans as approved or as shall be approved or amended by the relevant statutory and local authorities and bodies whose permission, consent, licence or other form of approval is necessary or required under any Act, Ordinance, Enactment, Regulation and By-Law to enable the Project to be implemented and the constructions works to be commenced, carried out and completed, including any subsequent variations and amendments as shall be made by GASB with the approval of the relevant authorities. (2) PARTIES BASB (Company No. 1026288-W) is a company incorporated in Malaysia under the Companies Act, 1965 and having its registered address at 6-02, Level 6, Wisma BU8, 11 Lebuh Bandar Utama, 47800 Petaling Jaya, Selangor Darul Ehsan, Malaysia. GASB (Company No. 978775-T) is a wholly owned subsidiary of Weida Properties Sdn Bhd which in turn wholly owned by the Company and having its registered office at Lot 3.05, Level 3, 1 First Avenue, Bandar Utama, 47800 Petaling Jaya, Selangor Darul Ehsan.GASB has the expertise in property development, including design, construct and build. GASB has expressed its interest in developing the JV Land. BASB entered into a Sale and Purchase Agreement with the vendors on 22 December 2012 (“SPA”) to purchase the JV Land. By virtue of the SPA, BASB had acquired an interest in the JV Land and is pending completion of SPA. (3) SALIENT TERMS OF THE JVA The JVA records the terms and conditions agreed between the BASB and the GASB to govern the joint development and their rights and obligations. Subject to the provisions in the Agreement, GASB shall complete the Development on the JV Land within five (5) years from the legal completion of the Principal SPA between the Vendor and BASB. (3) Financing for the Development:
(i) BASB: - fifteen per centum (15%) of the gross development value for the Development or minimum entitlement of Ringgit Malaysia Thirty Two Million only (RM32,000,000), whichever is higher. (ii) GASB - the whole of the building units in the Development which do not form part of the BASB’s Entitlement. (5) Payment of BASB’s Entitlement
(4) SOURCE OF FUNDS Weida intends to fund the Development through internally generated funds and/or borrowings. The funding will be decided by the management at a later stage where the management will choose the most optimum mix taking into consideration of its gearing level, interest costs as well as internal cash requirements for its business. (5) RATIONALE FOR THE JOINT VENTURE The JVA will enable the Weida Group to diversify into property development. This is in line with the Weida Group’s vision of to be a leading player in delivering innovative utility infrastructure, sustainable environmental solutions and building premium properties for a greener and healthier living. (6) FINANCIAL EFFECTS OF THE JVA The JVA will not have any effect on the issued and paid-up share capital of Weida or the shareholdings of the substantial shareholders of Weida and is not expected to have any material effect on the net assets, gearing and earnings of the Weida Group for the financial year ending 31 March 2013.The JVA is expected to contribute positively to the future earnings of Weida Group. (7) DIRECTORS AND MAJOR SHAREHOLDERS’ INTEREST None of the directors and/or major shareholders of Weida and/or any persons connected with them have any interest, direct or indirect in the JVA. (8) DIRECTORS’ STATEMENT The Directors of Weida are of the opinion that the JVA are in the best interest of the Company and the Group. (9) DOCUMENTS AVAILABLE FOR INSPECTION A copy of the JVA is available for inspection at the Company's Registered Office at Wisma Hock Peng, Ground Floor to 2nd Floor, 123 Green Heights, Jalan Lapangan Terbang, 93250 Kuching, Sarawak during normal office hour from Monday to Saturday (except for public holidays) for a period of three (3) months form the date of this announcement.
