Selective capital reduction and repayment exercise under Section 64 of the Companies Act, 1965 (“Act”) involving the repayment of RM3.30 per ordinary share of RM1.00 each in UAC Berhad (“UAC”) (“UAC Share(s)”) held by the shareholders of UAC (other than Boustead Holdings Berhad) on the entitlement date (“SCR”) and the dividend payment of RM1.00 (net of tax) per UAC Share made in conjunction with the SCR (“Dividend Payment”).

Remarks :- The SCR involves UAC undertaking a selective share capital reduction and a corresponding capital repayment pursuant to Section 64 of the Act, involving the reduction of the enlarged issued and paid-up share capital of UAC, including the bonus shares, from RM86,431,463 comprising 86,431,463 UAC Shares to RM1,000,000 comprising 1,000,000 UAC Shares by way of cancellation of all UAC Shares which are in issue, save and except for 1,000,000 UAC Shares which are then to be entirely held by Boustead Holdings Berhad (“BHB”).
Under the SCR, all the shareholders of UAC other than BHB (“Entitled Shareholders”), whose names appear on UAC’s Record of Depositors as at 5.00 p.m. on Wednesday, 12 December 2012 (“Entitlement Date”) shall be entitled to receive a capital repayment of RM3.30 per UAC Share for each existing UAC Share held. BHB shall waive its entitlement to the repayment of capital pursuant to the SCR in favour of the Entitled Shareholders.
In conjunction with the SCR, UAC will also make a dividend payment of approximately RM1.33 less tax at 25% per UAC Share to be paid out from the retained earnings of UAC. All the Entitled Shareholders and BHB will be entitled to receive a dividend payment of RM1.00 (net of tax) per UAC Share held (“Dividend Payment”).
UAC will be de-listed and removed from the Official List of Bursa Malaysia Securities Berhad (“Bursa Securities”) after the completion of the SCR and the Dividend Payment.
The trading of UAC Shares on the Main Market of Bursa Securities will be suspended with effect from 9.00 a.m. on 6 December 2012, being three (3) clear market days prior to the Entitlement Date. Accordingly, the last day of trading for UAC Shares on the Main Market of Bursa Securities prior to the suspension shall be 5.00 p.m. on 5 December 2012. The UAC Shares will no longer be traded on the Official List of Bursa Securities after the trading of UAC Shares is suspended on 6 December 2012. For the avoidance of doubt, the trading of UAC Shares will continue to be suspended with effect from 9.00 a.m. on 6 December 2012 until the removal of UAC from the Official List of Bursa Securities.
The notice to shareholders in relation to the suspension of trading of UAC Shares and the Entitlement Date for the SCR will be despatched to UAC’s shareholders on 29 November 2012.
