INTRODUCTION The Board of Directors of Ingenuity Consolidated Berhad (Formerly known as Ingenuity Solutions Berhad”) (“ICB” or “the Company”) wishes to announce that VISTAVISION RESOURCES SDN. BHD.�(“VVR”), a wholly-owned subsidiary of ICB, has incorporated a wholly-owned subsidiary, “INGENS COMMERCE SDN BHD” (“INGENS COM”) under the Companies Act, 1965 and has today received the Certificate of Incorporation of Private Company (Form 9) dated 26th November 2012 from the Companies Commission of Malaysia (“CCM”). INFORMATION OF INGENS COM The authorized share capital of INGENS COM is RM100,000.00 divided into 100,000 ordinary shares of RM1.00 each. The total issued and paid-up capital is RM2.00 comprising 2 ordinary shares of RM1.00 each wholly-owned by VVR. The first directors of INGENS COM are Mr Low Gah Luen and Mr Kenny Khow Chuan Wah.� Mr. Low Gah Luen is also a Director of VVR and ICB. ACTIVITIES OF INGENS COM INGENS COM will be involved in trading, reselling, retailing, marketing and promoting of all types of Information Technology and Telecommunication and multimedia products, software, accessories and services. FINANCIAL EFFECTS OF THE INCORPORATION The incorporation is not expected to have any material effect on the earnings per share, net assets per share, share capital and substantial shareholders’ shareholdings of the Company for the financial year ending 31st March 2013. APPROVAL REQUIRED The incorporation is not subjected to the approval of the shareholders and the relevant government authorities. DIRECTORS’ AND MAJOR SHAREHOLDERS’ INTERESTS None of the directors and/or major shareholders of the Company and/or persons connected with them have any interest, whether direct or indirect, in the incorporation.
