The Board of Directors of Goldis Berhad (“Goldis”) wishes to announce that GoldChina Sdn Bhd (“GoldChina”), a wholly-owned subsidiary of Goldis has on�2 October 2012 entered into a Shares Sale Agreement (“SSA”) with Mr Goh Soo Chao (“Mr Goh”) to dispose its entire 100% equity interest held in Manax Limited (“Manax”) comprising 2 ordinary shares of HKD100.00 each to Mr Goh for a total cash consideration of HKD100,000.00 (equivalent to approximately RM40,300 at an exchange rate of HKD1.00 equals to RM0.403) �(“disposal”). �Manax ceased to be a subsidiary of Goldis on receipt of the sale consideration.

The financial effects of the disposal on Goldis are as follows:-

The disposal will not have any material effect on the earnings of Goldis for the financial year ending 31 January 2013.

However, the disposal will result in an estimated one-off net gain on disposal of approximately RM7.9 million derived from the proceeds of RM40,300.00 at Goldis Group level for the financial year ending 31 January 2013. With the disposal, Goldis Group will no longer be able to consolidate Manax Group’s results going forward.

None of the Directors, major shareholders of Goldis and/or persons connected to them, have any interest, direct or indirect, in the above disposal.

The Board is of the opinion that the disposal is made in the best interests of the Goldis Group.
