The authority conferred pursuant to�the mandate will however lapse at the conclusion of the forthcoming AGM (i.e. 48th AGM) unless authority for its renewal is obtained from the shareholders of the Company at the 48th AGM. The Recurrent Related Party Transactions are necessary for GAB Group’s day-to-day operations and they are carried out in the ordinary course of business based on normal commercial terms which are not more favourable to the related parties than those generally available to the public and are not detrimental to the minority shareholders of the Company. (ii)���������� Proposed Amendments to the Company’s Articles of Association �������� �������� The Proposed Amendments to the Company’s Articles of Association are intended to ensure that the Company’s Articles of Association comply with the additional requirements of the Bursa Malaysia Main Market Listing Requirements and to update other provisions in the Company’s Articles of Association for clarity and consistency.
