Remarks :- The trading of the ordinary shares of RM1.00 each in AP Land ("AP Land Shares") on the Main Market of Bursa Malaysia Securities Berhad ("Bursa Securities") will be suspended with effect from 9.00 a.m on Wednesday, 7 March 2012, which is three (3) clear market days prior to the Entitlement Date (as defined herein). Accordingly, the last day of trading of AP Land Shares on the Main Market of Bursa Securities prior to suspension shall be 5.00 p.m. on Tuesday, 6 March 2012. The trading of AP Land Shares on the Main Market of Bursa Securities will continue to be suspended with effect from 9.00 a.m. on Wednesday, 7 March 2012 until the completion of the Distribution and the subsequent de-listing of AP Land from the Official List of Bursa Securities.
The shareholders of AP Land (save for Low Yat Construction Company Sdn Berhad, Low Yat And Sons Realty Sdn Berhad and Sem Siong Industries Sdn Bhd), whose names appear in the Record of Depositors and/or Register of Members of AP Land at the close of business at 5.00 p.m. on Tuesday, 13 March 2012 ("Entitlement Date"), would be entitled to receive a cash amount of RM0.45 in consideration for the cancellation of every one (1) AP Land Share held pursuant to the Distribution. Please take note that the AP Land Shares must be:
(i) transferred into the respective shareholders' Central Depository System ("CDS") accounts before 4.00 p.m. on Tuesday, 13 March 2012;
(ii) deposited into the respective shareholders' CDS accounts before 12.30 p.m. on Friday, 9 March 2012 in respect of securities exempted from mandatory deposit; and
(iii) bought on Bursa Securities on a cum-entitlement basis according to the rules of Bursa Securities.
The cash payment for the Distribution is expected to be despatched to entitled shareholders on Wednesday, 21 March 2012.
