Description: We refer to the letter from Bursa Malaysia Securities Berhad of 17 February 2012 requesting the furnishing of additional information relating to the matter above.
The requested information is set out below:
1. The principal activity of Petrofac FPSO Holding Limited and Kencana Petroleum Ventures, name of their directors and substantial shareholders and their respective shareholdings;
The details of Petrofac FPSO Holding Limited and Kencana Petroleum Ventures Sdn Bhd are set in the table below.
2. Net book value of the FPSO based on Berantai Floating Production Limited ("BFPL")'s latest audited accounts, if any.
BFPL was incorporated on 11 March 2011 and it's financial statement have not been audited. Meanwhile the FPSO is still undergoing modification at Keppel yard.
3. Source of fund on the provision of shareholders' loan by Sapura Energy Ventures Sdn Bhd ("SEV") to BFPL and its breakdown if it involves internal fund and external borrowings.
Based on the current plan where BFPL will undertake 70% financing for FPSO from external borrowing, SEV's portion of the shareholders' loan is about USD26 million of which upto 100% will be funded from existing debt facility.
4. Whether the Agreement is subject to shareholders' approval.
The Agreement is not subject to approval of shareholders of the Company.
5. Termination clause(s) in relation to the Agreements, if any;
The termination clauses are set out in Appendix 1.
6. Current status and the expected date of completion of the modification/conversion of the FPSO.
The FPSO current progress is about 94% complete and is expected to be fully completed in the 2nd quarter of 2012.
