Description: We refer to our earlier announcement dated 30 January 2012 and Bursa Malaysia Securities Berhad's query letter dated 2 February 2012 (Ref : NS-120202-34636).
The Board of Directors of Techfast wishes to inform the following additional information:
1) The size of the land is 6,668 sq meters.
2) A description of the Sale Property including :-
- the age of the factory with office and single storey storage building is approximately 23 years;
- the tenure of the property is freehold;
- the property is charged to United Overseas Bank Ltd for term loan, overdraft and other banking facilities; and
- the amount of lettable space of the factory with office is 1,855 sq meters and single storey storage building is 176 sq meters.
3) The property was purchased for Baht 27,000,000 and building improvements were then made to the property to suit the company's uses and operations. The market valuation of Baht 30,935,000 includes valuation for the building improvements. The sale price of Baht 28,000,000 was obtained by international property agent, Knight Frank Chartered (Thailand) Co., Ltd. and this offer was the best offer received for the property since it was placed in the market for sale in the last two years.
4) The sales proceeds will be fully utilised within one month from the completion of the sale and purchase of the property.
5) On 28 November 2011, the shareholders of Techfast Precision (Thailand) Co., Ltd. has approved the Proposed Disposal. However, the Proposed Disposal is not subject to the shareholders' approval of the Company.
With reference to the relevant announcement released on 30 January 2012, the Board of Directors of Techfast also wishes to add / amend item 2.1, second paragraph of item 4.2 and item 11 as follows :
2.1 Particulars of the Property
The Proposed disposal entails the disposal of an industrial land together with buildings consisting of a factory with office, single storey storage building, two (2) toilets, motorcycle parking, vehicle parking, guardhouse yard and fence erected on land title deed no. 1518, 11294 and 24209 with total area of approximately 6,668 sq meters bearing postal address No. 71/11 Moo 5, Bangpakong Industrial Estate Road via Sukhumvit Road (Highway No. 3), Tarkarm Sub-district, Bangpakong District, Chacheongsao Province, Thailand for the Disposal Consideration.
4.2 Net assets, Earnings and Gearing - second paragraph
Based on the audited accounts of the Group as at 31 December 2010, on the assumption that the Proposed Disposal has been completed on 1 January 2010, it would have had the effect of decreasing the net profit for the year by approximately RM590,545 from RM3,692,607 to RM3,102,062. This would result in a decrease of earnings per share by 1.61 sen to 1.40 sen and decreasing net asset per share from 20.69 sen to 20.31 sen.
