Description: We refer to Bursa Malaysia Securities Berhad's query letter dated 21 December 2011 in respect of the above matter and wish to furnish additional information as set out below. All abbreviations in this reply are as defined in our announcement dated 19 December 2011.
1. The existing use of the Lands
The Lands are vacant and currently under the category of land use of "Agriculture".
2. The expiry dates of the Lease
The expiry date of the Lease is 14 February 2107 with an option to renew for a further term of 3 years immediately upon its expiry.
3. The net book values of the Lands, based on the latest financial statements; or an appropriate negative statement
Sunway is not able to disclose the net book value of the Lands, as Sunway is not privy to such information.
4. Additional information as prescribed under item 4, Part C, Appendix 10A of the Main Market Listing Requirements or an appropriate negative statement
(a) Details of development potential i.e. name of the project, type of development - residential, industrial or commercial, number of units in respect of each type of development:
The proposed development on the Lands is expected to comprise residential and commercial developments. However, due to the size, scale and expected development period of approximately 10 years, SCSB has not finalised the detailed development plans at this juncture. The number of units and actual mix can only be determined later.
(b) Total development cost & expected profits to be derived:
The total development cost and expected profits have yet to be determined at this preliminary stage.
(c) Expected commencement and completion date(s) of development & stage or percentage of completion:
The proposed development on the Lands has yet to commence. The proposed development is expected to commence in the second half of 2012 or first half of 2013, depending on the approval by the relevant authorities. The proposed development is expected to take approximately 10 years.
(d) Sources of funds to finance the development cost:
The development cost will be funded through internal funds and/or bank borrowings, the combination of which can only be determined later.
(e) Whether relevant approvals for the development have been obtained and date(s) obtained:
The relevant approvals for the development have yet to be obtained.
5. Justification for the purchase consideration for the Lease
The purchase consideration of RM745,331,100/- was arrived at after taking into consideration the following factors:-
(i) The potential development values of the Lands given its accessibility and strategic location. The Lands are located in southern-most region of Medini and are approximately 10 minutes from Singapore via the Second Link Expressway. The Lands are also in close proximity to catalytic developments in the Iskandar region such as Legoland Malaysia, Pinewood Iskandar Malaysia Studios, EduCity, Kota Iskandar and the International Financial District;
(ii) Available infrastructure including roads and drainage to the perimeter of the Lands; and
(iii) Recently reported real estate transactions in Medini Iskandar.
6. The estimated breakdown in the source of funds
SunCity will fund its initial equity in the Proposed Joint Venture through internally generated funds and bank borrowings in the estimated proportion of 70% and 30% respectively. The source of funding for SunCity's subsequent equity subscription in the Proposed Joint Venture can only be determined later.
The Proposed Acquisition will be funded via the initial equity contributed by SunCity and DBV totalling RM360 million whilst the balance of purchase consideration will be funded through bank borrowings.
