As announced on 22 July 2011, the total variation of the proposed utilization of proceeds amounting to approximately RM2.64 million was mainly due to under provision , from the proposed utilisation of proceeds, of the settlement of its bank borrowings and its payments to creditors, for which the creditor balances' were incurred by the Company in its normal course of business.
The Board is of the opinion that the variation in proposed utilization of proceeds from the Proposed Disposal is not subject to the approval of the shareholders of PNB as the new utilization amount is utilized for the repayment of liabilities incurred by the Company prior to the completion of the Proposed Disposal as well as for expenses in relation to the Proposed Disposal. In addition, the deviation in the utilization of proceeds amounting to approximately RM2.64 million is less than 5% from the original proposed utilization proceeds.
