1. The terms of any arrangement for payment of the purchase consideration of
RM4.35 million on a deferred basis.
2. The net profit and the net assets of PT Praisindo Teknologi based on its
latest audited accounts.
3. The particulars of all liabilities, including contingent liabilities and
guarantees to be assumed by Century Software Holdings Berhad arising from the
Acquisition.
4. The salient features of the Sale and Purchase Agreement.
5. The prospects of PT Praisindo Teknologi.
6. The risks in relation to the Acquisition including risk factors of PT
Praisindo Teknologi.
7. The estimated time frame to complete the Acquisition.
8. The highest percentage ratio applicable to the Acquisition pursuant to
Paragraph 10.02(g) of the Main Market Listing Requirements.
