2. The purchase consideration is comparable to the recent sale prices of the same type of property in the surrounding
area other than willing buyer and willing seller basis.

3. No valuation was carried out on the Property by registered valuer as the purchase is not considered material.

4. We do no know the net book value of the Property as the audited financial statements are not provided to us.

5. The double-storey office building is about 25 years old and has a total lettable floor area of approximately 10,000 sq ft and the single storey warehouse is about 25 years old and has a total lettable floor area of approximately 20,000 sq ft.

6. The existing uses of the Property are :

a) double storey office building is being used as office and
b) the single storey warehouse is being used as storage for automotive and tractor parts.

7. The Property is to be rented for about two to three years initially.

8. The basis to arrive at the expected monthly rate of RM40,000/= for the Property is as follows :

a) for office building -
per month at RM2/= per sq ft x 10,000 sq ft = RM20,000.00

b) for warehouse -
per month at RM1/= per sq ft x 20,000 sq ft = RM20,000.00

9. We have not splitted the total value of RM9,500,000/= into cost for building and cost for land yet. The approved amortisation rate for the Company's building is 2% per annum. In this case we have taken a conservative rate of 2% per annum for both the leasehold land and building. Eventually the cost of the leasehold land, when the cost is ascertained, would be amortised over the remaining life of the lease.

10. There is no significant effect of the acquisition on the Company's gearing and totally no effect on the company's net assets per share, share capital and substantial shareholders' shareholdings, as the Property is acquired for cash using the Company's available fixed deposits placed with Banks.

11. No liability, contingent liability or guarantee is to be assumed by the Company in respect of this acquisition.

12. The Directors do not forsee any risk relating to this Property acquisition or any risk factor of the Property to be acquired.

13. The highest percentage rates applicable to the acquisition pursuant to Paragraph 10.02(g) :

Value of Property to be acquired (A) - RM9,500,000.00

Net assets of Mintye Industries Bhd per

14. The terms of the transaction were agreed upon on 5 April 2011. We signed the Sale & Purchase Agreement and passed it to our Lawyer for onwards passing to the Vendor's Lawyer for arrangement of signature by the Vendor. However, our Lawyer only received the duly signed Agreement from the Vendor's Lawyer on 12 April 2011 so our Lawyer dated and stamped the Agreement on 13 April 2011.

15. The acquisition involving only RM9,500,000/= is not subject to the approval of any Government Authorities.

16. The Company's major shareholders and/or persons connected to the Directors or major shareholders have no interest in the acquisition.

The highest percentage ratio applicable to the acquisition pursuant to
Paragraph 10.02(g) of the Main Market Listing Requirements;
Further elaboration on the reason that the terms of the transaction were agreed
