Description: We refer to our announcement dated 31 January 2011. As requested, we are pleased to provide the following additional information for public release. The definitions used in the said announcement will apply to this announcement.
1. Whether the acquiror has sufficient financial resources to undertake the acquisition
Navis has confirmed that it has sufficient financial resources to undertake the acquisition as it currently has over USD3 billion in capital under management and has sufficient unutilized funds for the acquisition.
2. A statement by the Board stating whether the disposal is in the best interest of the listed corporation, together with reasons and factors taken into consideration in forming that opinion
In arriving at its decision, the Board has considered the following factors:
(a) the offer price represents a premium of approximately 20% over the pre-disturbance closing price of RM2.58 per share (i.e. closing market price on 26 January 2011) and approximately 19.7% over the 5-day volume weighted average market price up to 26 January 2011.
(b) the offer price represents a premium of approximately 189% over the unaudited consolidated net assets per share of the Company as at 30 September 2010 of RM1.07 and a premium of approximately 260% over the audited consolidated net assets per share of the Company as at 31 December 2009 of RM0.86;
(c) the past track record of the acquiror and their ability to grow the business after the acquisition as well as the credibility of the acquiror to complete the transaction.
After having considered the factors above, the Board believes that the disposal is in the best interest of Latexx. The Board will be appointing a principal adviser and an independent adviser to advise the shareholders on the fairness and reasonableness of the Proposal.
3. Description of the future plans of the listed corporation
As announced, the Indicative Purchase Price shall be fully settled in cash and/or through the issuance of securities by a SPV. If the Proposal is approved by shareholders, the cash and/or the securities will be distributed to the shareholders and warrantholders of the Company in proportion to their shareholdings and warrantholdings respectively.
4. Whether it is the listed corporation's intention to maintain its listing status
The Board does not intend to maintain the listing status of Latexx and the Company will be delisted after the distribution of the cash and/or securities to shareholders and warrantholders.
5. The intended application of the sales proceeds

6. Implications of Practice Note 16
Upon completion of the disposal, Bursa Malaysia Securities Berhad ("Bursa Securities") may classify Latexx as a Cash Company pursuant to Paragraph 8.03(1) of the Main Market Listing Requirements ("MMLR"), in which case Latexx shall fall within the ambit of Practice Note 16 of the MMLR ("PN16"). As Latexx intends to distribute all the proceeds (cash and/or securities) to shareholders, the Company will be de-listed after the distribution.
7. To state when the company will make the necessary announcements pursuant to Chapter 10 of the Main Market Listing Requirements in respect of the Proposal
The Company will make the necessary announcements to Bursa Securities on the status of the Proposal prior to the expiry of the exclusivity period on 1 April 2011. An announcement pursuant to Chapter 10 of the MMLR will only be made upon the signing of the Definitive Agreement.
