Contents: The Board of Directors of Stone Master Corporation Berhad ("SMCB" or "the Company") wishes to announce the reply to the Bursa Malaysia's Query Letter dated 26th November 2010 in respect to the SMCB Heads of Agreement in relation to the Acquisition of 51% of the entire issued and paid up share capital in Jinzhou Everthriving Logistics Co. Ltd ("Jinzhou") as attached.
Query Letter content: We refer to your Company's announcement dated 26 November 2010 in respect of
the aforesaid matter.
In this connection, kindly furnish Bursa Securities with the following
additional information for public release:-
1) The effect of the Acquisition on the listed issuer in the event it
materialises.
2) Details of vendor including principal activity, names of its directors and
substantial shareholders together with their respective shareholdings;
3) Whether the Acquisition will be subject to the shareholder approval, if it
materialises;
4) The highest percentage ratio applicable to the Acquisition pursuant to
paragraph 10.02(g) of the Main Market Listing Requirements ("Main LR"); and
5) Where available the following information:-
(i) Prospects of the interests to be acquired; and
(ii) The risk in relation to the Acquisition including risk factors of the
interests to be acquired.
Please furnish Bursa Securities with your reply within one (1) market day from
the date hereof.
