The Board of Directors of Fibon is pleased to announce that the Company has acquired 2 ordinary shares of RM1.00 each at par value, representing the entire equity interest in Fibon Electric (M) Sdn Bhd (Company No: 855200-A) for a total cash consideration of RM2.00 on 9 November 2010.
2. DETAILS OF THE ACQUISITION
Fibon Electric was incorporated under the Companies Act 1965 as a private limited company under the Companies Commission of Malaysia (CCM) on 29 April 2009. Fibon Electric has an authorised share capital of RM100,000.00 comprising 100,000 ordinary shares of RM1.00 each and has an issued and paid-up share capital of RM2.00 comprising 2 ordinary shares of RM1.00 each. Fibon Electric is currently a dormant company.
Prior to the Acquisition, the shareholder of Fibon Electric were Chong Chee Siong and Chung Choon Yueh who holds 1 share each.
The purchase consideration for the Acquisition was arrived at on a "willing-buyer willing seller" basis after taking into consideration the issued and paid-up share capital of Fibon Electric. There were no liabilities being assumed by Fibon pursuant to the Acquisition. The shares being acquired pursuant to the Acquisition are free from all encumbrances and with all rights attaching thereto. The Acquisition was satisfied via internally generated funds.
3. RATIONALE
The Acquisition is part of Fibon's initial plan to expand its related business activities into electrical industry.
4. FINANCIAL EFFECTS OF THE ACQUISITION
The Acquisition will not have any effect on the share capital and substantial shareholders' shareholding of Fibon as the Acquisition does not involve any allotment or issue of new Fibon shares. Further, the Acquisition is also not expected to have any material effect on earnings per share, gearing, dividend policy and net assets per share of Fibon.
5. DIRECTORS' AND MAJOR SHAREHOLDERS' INTEREST
None of the directors and/or major shareholders of Fibon as well as persons connected with them have any interest, direct and/or indirect in the Acquisition.
6. APPROVALS REQUIRED
The Acquisition is not subject to the approval of any regulatory authority or shareholders of Fibon.
7. DEPARTURE FROM THE SECURITIES COMMISSION'S GUIDELINES ON THE OFFERING OF EQUITY AND EQUITY LINKED SECURITIES FOR THE MESDAQ MARKET
To the best knowledge of the Directors of Fibon, the Securities Commission's Guidelines on the Offering of Equity and Equity-linked Securities for the Main Market is not applicable for the Acquisition.
