Contents: Further to the announcement dated 10 June 2008, the Company has on 20 September 2010 agreed to dispose of to Mega First Corporation Berhad ("MFCB") the 3,000 shares of USD1 each, representing 30% equity interest in Don Sahong Power Company Limited ("DSPC), a company incorporated in British Virgin Islands, for a total cash consideration of RM4,155,000 ("the Disposal"), with a gain of RM994,449.
The consideration was arrived at on a willing-buyer-willing-seller basis after taking into account the time spent and cost incurred by the Company since 2008 in the Don Sahong Hydroelectric Power Project ("the Project") in Lao People's Democratic Republic. With the Disposal, the Company will cease to have any interest in the Project.
DSPC is a 30:70 joint venture company between the Company and MFCB to invest into a project company to undertake the development and operation of the Project.
None of the Directors or major shareholders of the Company, or persons connected with them, has any interest, direct or indirect, in the Disposal, and no approval of shareholders is required for the Disposal. The Disposal will not have any significant effect on the earnings or net assets per share of the Company for the financial year ending 31 March 2011.
