WCLabuan will be fully dissolved on 18 August 2015 after the expiration of three months from the date of lodgement of the Return by Liquidator relating to the Final Meeting with the Companies Commission of Malaysia and Official Receiver.

The Member’s Voluntary Winding Up of WCLabuan will not have any effect on the share capital and shareholdings of the substantial shareholders of WSC and will not have any financial impact on the gearing, earnings and net assets of WSC Group for the financial year ending 31 December 2015.

None of the Directors, major shareholders of WSC or persons connected to them have any interest, direct or indirect, in the Member’s Voluntary Winding Up.

Reference is made to the Company’s announcement dated 7 May 2015 in relation to the Writ of Summons and Statement of Claim filed by Sentosacove Sdn. Bhd. (“SSB”) against Benalec Sdn. Bhd. (“BSB”), the wholly-owned subsidiary of the Company.

The Company wishes to announce that BSB had on 15 May 2015 filed a defence and counter claim in the High Court of Malaya at Kuala Lumpur against SSB, Datuk Leaw Tua Choon and Datuk Leaw Ah Chye as 1st, 2nd and 3rd defendants in the counter claim.

The counter claim is for, amongst others an order that the 1st defendant performs the Land Reclamation Agreement dated 10 September 2010. BSB is also seeking for damages against the 1st and/or 2nd and/or 3rd defendants for damages to be assessed by the Registrar of the High Court and other reliefs as may be just. At the same time, BSB has also filed a Notice of Application for an injunction against the 1st and/or 2nd and/or 3rd defendants.

The Company will make such further announcement on the above matter as and when necessary.
