PROPOSALS

(Unless otherwise stated, all abbreviations used herein shall have the same meanings as those stated in the announcements dated 5 November 2014 and 4 March 2015 in relation to the Proposals)

Reference is made to the announcements dated 5 November 2014, 4 March 2015 and 23 March 2015 in relation to the Proposals. 

M&A Securities, on behalf of the Company, is pleased to announce that Bursa Securities had vide its letter dated 24 April 2015 (received on 27 April 2015) approved the following:-

(a) Admission to the Official List of the Main Market of Bursa Securities and the listing and quotation for up to 2,940,633,520 Warrants to be issued pursuant to the Proposed Rights Issue with Warrants;

(b) Listing of and quotation for:-

(i) Up to 5,881,267,040 PDZ Shares to be issued pursuant to the Proposed Rights Issue with Warrants;
(ii) Up to 2,940,633,520 PDZ Shares to be issued pursuant to the full exercise of the Warrants;
(iii) Up to 200,000,000 PDZ Shares to be issued pursuant to the Proposed Special Issue; and
(iv) Up to 1,555,555,556 PDZ Shares to be issued pursuant to the conversion of the RCPS.

The approval granted by Bursa Securities is subject to the following conditions:-

(a) PDZ and M&A Securities must fully comply with the relevant provisions under the Main Market Listing Requirements (“Main Market LR”) pertaining to the implementation of the Proposals;

(b) PDZ and M&A Securities to inform Bursa Securities upon the completion of the Proposals;

(c) PDZ to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposals are completed;

(d) Certified true copy of the resolutions passed by the shareholders in a general meeting approving the Proposals;

(e) Payment of additional listing fees pertaining to the exercise of Warrants. In this respect, PDZ is required to furnish Bursa Securities on a quarterly basis a summary of the total number of shares listed pursuant to the exercise of the Warrants, as at the end of each quarter together with a detailed computation of listing fees payable; and

(f) In respect of the Proposed Special Issue, M&A Securities to furnish Bursa Securities with the following:-

(i) Details of the independent third party investor(s) as per Paragraph 6.15 of the Main Market LR for Bursa Securities’ clearance, prior to the issuance/allotment of shares to the independent third party investor(s); and

(ii) Confirmation that the independent third party investor(s) do not fall within any category of persons specified in Paragraph 6.04(c) of the Main Market LR.
