(COLLECTIVELY REFERRED TO AS THE "PROPOSALS")

The terms used herein, unless the context otherwise stated, bear the same meaning as those defined in the earlier announcements in relation to the Proposals.

 

We refer to our earlier announcements dated 18 March 2015 and 2 April 2015.

 

On behalf of the Board of Directors of EAH, RHB Investment Bank Berhad ("RHBIB") wishes to announce that Bursa Malaysia Securities Berhad ("Bursa Securities") had, vide its letter dated 30 April 2015, resolved to approve the following:-

 

i. Listing of up to 267,356,264 Bonus Shares to be issued pursuant to the Proposed Bonus Issue;

 

ii. Listing of 470,400,000 new EAH Shares to be issued pursuant to the Proposed Acquisition ("Consideration Shares");

 

iii. Listing of up 30,212,649 additional Warrants A arising from the adjustments pursuant to the Proposed Bonus Issue ("Additional Warrants A");

 

iv. Listing of up 24,555,364 additional Warrants B arising from the adjustments pursuant to the Proposed Bonus Issue ("Additional Warrants B");

 

v. Listing of up 42,517,650 additional Warrants C arising from the adjustments pursuant to the Proposed Bonus Issue ("Additional Warrants C"); and

 

vi. Listing of up 97,285,663 new EAH shares to be issued pursuant to the exercise of the Additional Warrants A, Additional Warrants B and Additional Warrants C.

 

 

The approval granted by Bursa Securities for the listing and quotation of the Consideration Shares and Bonus Shares is subject to the following conditions:-

 

i.          EAH and RHBIB must fully comply with the relevant provisions under the ACE Market Listing Requirements of Bursa Securities ("Listing Requirements") pertaining to the implementation of the Proposed Acquisition and the Proposed Bonus Issue;

 

ii.         EAH and RHBIB to inform Bursa Securities upon completion of the Proposed Acquisition, the Proposed Diversification and the Proposed Bonus Issue;

 

iii.         EAH to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities' approval once the Proposed Acquisition, the Proposed Diversification and the Proposed Bonus Issue are completed; and

 

iv.        EAH and RHBIB are required to make the relevant announcements pursuant to Rule 6.36(2)(a) & (b) and 6.36(4) of the Listing Requirements.

Inaugural Issuance of JPY Denominated Bonds in Samurai Bonds Market Amounting to JPY31.3 Billion  In Nominal Value (Samurai Bonds)

Maybank Investment Bank Berhad, on behalf of the Board of Directors of Malayan Banking Berhad (“Maybank”), is pleased to announce that Maybank has completed its inaugural issuance of JPY31.3 billion Samurai Bonds on 30 April 2015 comprising of 2 series of fixed rate bonds with three and five year tenures.

The approval from the Securities Commission Malaysia for the issuance of the Samurai bonds was obtained on 3 April 2015.  

The issuance details are summarised as follows:

(a) Issuer : Maybank
(b) Issue Date : 30 April 2015
(c) Nominal Amount :

JPY18.5 billion (3 years)

JPY12.8 billion (5 years)
(d) Coupon Rate :

3-year bond: 0.397% per annum 

5-year bond: 0.509% per annum 
(e) Details on utilisation of proceeds : The proceeds will be used for Maybank’s working capital, general banking and other corporate purposes.
(f) Rating :

A3 by Moody’s

A by Japan Credit Rating Agency, Ltd.

In addition, we wish to inform that the special purpose audited financial statements of Maybank for the three financial years ended 31 December 2014, 31 December 2013 and 31 December 2012 announced on 6 April 2015 is pursuant to the legal requirements in Japan for the issuance of Samurai Bonds.
