On behalf of the Board of Directors of GNeptune (“Board”), TA Securities Holdings Berhad (“TA Securities”) wishes to announce that the Company proposes to undertake the following:

 

(i) proposed private placement of up to 86,625,000 new ordinary shares of RM0.03 each in GNeptune (“GNeptune Shares” or “Shares”) (“Placement Shares”), representing up to thirty percent (30%) of the existing issued and paid-up share capital of GNeptune (excluding treasury shares, if any) (“Proposed Private Placement”); and

 

(ii) proposed diversification of the business of GNeptune to include the trading and distribution of apparel and related products (“Proposed Diversification”).

 

(Collectively referred to as the “Proposals”)
