Upon completion of the Acquisition, Strategic Ambience will be a wholly-owned subsidiary of SMRT. Information on Strategic Ambience Strategic Ambience was incorporated in Malaysia on 23 September 2014 under the Companies Act 1965. The authorised share capital of Strategic Ambience is RM400,000.00 divided into 400,000 ordinary shares of RM1.00 each. The issued and paid-up share capital of Strategic Ambience is RM2.00 comprising of 2 ordinary shares of RM1.00 each. Strategic Ambience is currently dormant. The principal activities of Strategic Ambience will be subsequently amended to reflect the intended activities. Stock Units to be issued pursuant to the Proposed Bonus Issue; (iii) the listing and quotation of up to
228,188,922 new E&O Stock Units to be issued arising from the exercise of
the Warrants; and (iv) the listing and quotation of up to 350,000,000 new E&O
Stock Units to be issued pursuant to the conversion of RCMTNs-A. The
approval granted by Bursa Securities for the Proposals is subject to the
following conditions: (i) E&O and HLIB must fully comply with the relevant
provisions under the Listing Requirements pertaining to the implementation of
the Proposals; (ii) E&O and HLIB to inform Bursa
Securities upon the completion of the Proposals; (iii) E&O to furnish Bursa Securities with
a written confirmation of its compliance with the terms and conditions of Bursa
