Description	Proposed renewal of Shareholders’ Mandate for recurrent related party transactions of a revenue or trading nature (“Proposed Shareholder Mandate”)
The Board of Directors of Shin Yang Shipping Corporation Berhad (“SYSCORP”) wishes to announce that in accordance with Chapter 10.09 of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad ("Listing Requirements"), the Company intends to seek its shareholders’ approval, at the 9th Annual General Meeting ("AGM") to be convened on a later date, to renew the mandate to enter into recurrent related party transactions of a revenue or trading nature (“RRPT”) that are necessary for the day-to-day operations of the Company and its subsidiaries (collectively the "Group") for the period from the date of the 9th AGM to the conclusion of the 10th AGM in 2015. The existing shareholder mandate was obtained at the 8th AGM held on 23rd December 2013 shall lapse at the conclusion of the forthcoming 9th AGM, unless renewal is obtained. A Circular to Shareholders containing details of the abovementioned Proposed Shareholder Mandate will be despatched to the shareholders of the Company in due course.

Reference is made to the Company’s announcement on 12 June 2014 in relation to the Proposed Privatisation (“Announcement”). Unless otherwise stated, the definitions used throughout this announcement shall have the same meaning as defined in the Announcement.   As stated in the Announcement, if IJM declares, makes or pays any dividends and/or other distributions (“Distributions”) before the Consideration Shares are issued and a Scheme Shareholder is not entitled to such Distributions, IJM will increase the Cash Consideration by the quantum of the net Distributions per IJM Share that the Scheme Shareholder is not entitled to and there shall be no change to the Share Consideration.   On 25 November 2014, the Board of Directors of IJM has declared a single tier first interim dividend in respect of the financial year ending 31 March 2015 of 4 sen per IJM Share (“IJM Dividend”). Given that the Scheme Shareholders will not be entitled to the IJM Dividend as the Consideration Shares will only be issued after the entitlement date of 16 December 2014, the Cash Consideration will be adjusted from RM0.20 to RM0.22 per Scheme Share.    This announcement is dated 25 November 2014.
