The Company wishes
to announce that UOA Properties Sdn. Bhd, (“UOA Properties”) a wholly owned
subsidiary of the Company has on 7 October 2014 acquired two ordinary shares of
RM1.00 each for a cash consideration of RM2.00 each in the capital of
Distinctive Acres Sdn. Bhd. (1108701-X) (“DASB”) and Full Marks Property Sdn.
Bhd. (1109288-A) (“FMPSB”) respectively.
DASB is a private limited company incorporated in Malaysia under the Companies’ Act 1965 on 11 September 2014 with an authorised capital of RM400,000.00 divided into 400,000 ordinary shares of RM1.00 each, of which 2 ordinary shares of RM1.00 each had been issued and fully paid-up. FMPSB is a private limited company incorporated in Malaysia under the Companies’ Act 1965 on 17 September 2014 with an authorised capital of RM400,000.00 dividend into 400,000 ordinary shares of RM1.00 each, of which 2 ordinary shares of RM1.00 each had been issued and fully paid-up. Subsequent to the aforesaid acquisition of shares, DASB and FMPSB will become wholly owned subsidiaries of UOA Properties. DASB and FMPSB are currently dormant companies and their intended principal activity will be property investment.
