Description | ARBITRATION PROCEEDINGS - MEASAT BROADCAST NETWORK SYSTEMS SDN BHD ("MBNS") VS AV ASIA SDN BHD ("AV ASIA") |
We refer to our previous announcements dated 23 October 2012 and 29 August 2013 in relation to the arbitration proceedings between AV Asia and MBNS, a wholly owned subsidiary of Astro Malaysia Holdings Berhad (“the Company”). By way of background, on 12 October 2010, MBNS was served with a claim by AV Asia. Tele System Electronic (M) Sdn Bhd (“Tele System”) was named as second defendant. AV Asia is alleging that MBNS had breached the terms of a Mutual Non-Disclosure Agreement dated 1 August 2008 (“MNDA”) and has sought the following remedies: (a) an injunction restraining MBNS from making use of any confidential information and from supplying to its customers satellite dishes which were allegedly manufactured using such confidential information; (b) an injunction against Tele System from making use of any confidential and from supplying to MBNS and/or MBNS’s customers satellite dishes which were allegedly manufactured using such confidential information; (c) damages of RM4,410,000 for research and development and mould die cost; (d) damages for loss of commercialisation in the sum of approximately RM1.342 billion; (e) delivery up of documents containing confidential information; (f) further and/or in the alternative an inquiry into damages suffered or at AV Asia’s option an account of profits made by use of the confidential information; (g) exemplary and/or aggravated damages; and (h) further or other relief and costs. On 10 December 2010, the High Court granted MBNS a stay of proceedings pending reference to arbitration pursuant to Section 10 of the Arbitration Act, 2005 (in light of the existence of an arbitration clause found in the MNDA). AV Asia appealed to the Court of Appeal against the High Court’s decision but this appeal was heard and dismissed with costs by the Court of Appeal on 12 May 2011. Subsequently, AV Asia filed an application for leave to appeal to the Federal Court but the Federal Court had on 28 August 2012 dismissed AV Asia’s application for leave to appeal. This meant that the dispute will have to be finally determined by arbitration. AV Asia also filed an application for an interlocutory injunction against MBNS to restrain MBNS from making use of any alleged confidential information supplied by AV Asia and from supplying to MBNS’ customers whether directly or indirectly any satellite dishes in the manufacture of which any such alleged confidential information has been used. However AV Asia’s application was dismissed by the High Court on 27 May 2011. AV Asia appealed to the Court of Appeal against the High Court’s decision but their appeal was dismissed by the Court of Appeal on 12 September 2011. AV Asia subsequently filed an application for leave to appeal to the Federal Court. Although the the Federal Court allowed AV Asia’s application for leave to appeal, the Federal Court upon hearing the appeal, subsequently dismissed AV Asia’s appeal with costs. On 23 October 2012, MBNS filed a notice of arbitration at the Kuala Lumpur Regional Centre for Arbitration (KLRCA), seeking amongst others, a declaration that MBNS is not in breach of the MNDA. AV Asia filed a Counterclaim in the arbitration proceedings seeking a declaration that MBNS had breached the MNDA and sought, inter alia, the following relief: (a) an injunction to restrain MBNS, Tele System and Global Invacom from using the alleged confidential information and from manufacturing satellite dishes using the alleged confidential information; (b) an order to destroy or deliver up documents containing alleged confidential information; (c) damages of RM300 million (as opposed to the RM1.342 billion initially claimed in the court filing); (d) alternatively, an inquiry as to damages for alleged breach of the MNDA; (e) special damages of RM4,410,000; (f) further or alternatively, an account of all the profits made by MBNS, Tele System and Global Invacom from the use of the alleged confidential information. The arbitration proceedings were held at the KLRCA from 14 July 2014 until 18 July 2014. The Company wishes to announce that on 10 October 2014, MBNS received the decision of the Arbitral Tribunal. The Arbitral Tribunal ruled that MBNS is not in breach of the MNDA and dismissed the Counterclaim of AV Asia. The Arbitral Tribunal also ordered AV Asia to pay costs in the sum of USD1,051,554 to MBNS. This announcement is dated 13 October 2014.
