The terms used herein shall, unless the context otherwise states, bear the same meaning as those defined in the previous announcement dated 3 September 2014 in relation to the Private Placement. We refer to the announcements dated 3 September 2014, 5 September 2014 and 12 September 2014 in relation to the Private Placement. On behalf of the Board, RHB Investment Bank is pleased to announce that the Board has fixed the issue price for the placement of up to 82,499,993 Dayang Shares at RM3.37 per Placement Share. It is not the intention of the Board to place the Placement Shares to Directors or substantial shareholders of Dayang and/or persons connected to them. This issue price represents a discount of approximately 3% to the five (5)-day VWAP of Dayang Shares up to and including 22 September 2014 of RM3.4715. This announcement is dated 23 September 2014.

In the event that the shareholders’ approval cannot be obtained within the said ninety (90) days, the Purchaser shall grant the Vendor another thirty (30) days to obtain its shareholders’ approval (“Extension Period”).   As at the date of this announcement, the Company is still in the process of preparing the Circular to Shareholders for the purpose of convening an extraordinary general meeting in respect of the Proposed Disposal.
