On 25 August 2014, it was announced that the NGY Share Placement had been completed, which involved the subscription by Globaltec Energy Resources Sdn Bhd (formerly known as JCM Auto Components Sdn Bhd) (“GER”) and NCE of 83.3 million NGY Shares at A$0.03 per NGY Share representing a collective 19.9% equity interest in NGY for a purchase consideration of A$2.5 million. Upon the said completion, pursuant to the Amended and Restated NGY IA, Clause 1.4, NCE shall further subscribe for NGY Shares for a total minimum commitment of A$10 million at a minimum price of A$0.03 per NGY Share subject to shareholder and regulatory approval, where necessary (“Additional NGY Funding”). Following from the above, we wish to announce that NGY, GER and NCE had on 15 September 2014 entered into a second share subscription agreement (“Second SSA”) in respect of the Additional NGY Funding (“Proposed NGY Subscription”).
