We refer to the announcements dated 9 May 2014, 29 May 2014, 30 May 2014, 23 June 2014 and 19 August 2014 in relation to the Proposals (“Announcements”). Unless otherwise defined, the definitions set out in the Announcements shall apply herein.
On behalf of the Board, TA Securities wishes to announce that an office copy of the sealed order of the High Court of Malaya confirming the Share Premium Reduction and Par Value Reduction has been lodged with the Companies Commission of Malaysia on 25 August 2014, upon which the Par Value Reduction and Share Premium Reduction shall take effect and hence deemed completed.
The shareholders of the Company should note that the Par Value Reduction does not affect the number of or the rights attached to the existing Shares held by them. All Shares held in the securities account of the shareholders shall be unaffected, except for the reduction in its par value from RM0.10 to RM0.04 per Share.
Following the completion of the Par Value Reduction, the exercise price of the 145,263,250 2013/2018 warrants has been adjusted from RM0.10 to RM0.04, which will take effect from 9.00 a.m. on 26 August 2014, being the next market day following the lodgement of the sealed order granted by the High Court of Malaya confirming the par value reduction with the Companies Commission of Malaysia
