We refer to our announcement dated 11 March 2014, 2 May 2014 and 21 August 2014 and wish to announce the status update on the remedial action taken to comply with the Securities Commission Malaysia (“SC”)’s conditions, via its approval letter dated 3 May 2013, in conjunction with Solid’s listing on the Main Market of Bursa Malaysia Securities Berhad (“Bursa Securities”). As stated in Section 9.1(ii) of the Company’s Prospectus dated 19 August 2013 (“Prospectus”), Solid is to comply with the following conditions relating to the properties: Property Conditions of Approval Updates as at 11 September 2014 1. No. 5, Jalan Dataran 5, Taman Kempas, 81200 Johor Bahru, Johor Darul Takzim; and No. 7, Jalan Dataran 5, Taman Kempas, 81200 Johor Bahru, Johor Darul Takzim Solid is to obtain the necessary approval for land amalgamation and to rectify the unapproved structures/ extensions within two (2) years from the date of the SC's approval letter.   To obtain approval for land amalgamation The issuance of the new title for the amalgamated property is currently pending the restructuring of the charges over the respective properties by the chargee banks and release of the individual title deeds, which is expected to be completed by April 2015. Thereafter the Land Office is expected to take another three (3) to six (6) months for the issue of the new amalgamated title. To rectify the unapproved structures/ extensions The appointed consultants are in the midst of preparing the necessary drawings and building plans for submission to the relevant authorities and Majlis Bandaraya Johor Bahru (MBJB) to comply with the uniform building by-laws and related regulations. The consultants target to submit the necessary drawings and building plans to the relevant authorities and MBJB by 31 October 2014. MBJB is expected to take up to a further six (6) months to approve the new building plans. 2. No. 17, Jalan Kukuh off Jalan Tampoi, Kawasan Perusahaan Tampoi, Larkin, 80350 Johor Bahru, Johor Darul Takzim Solid is to rectify the non-compliance relating to the title and unapproved structures/ extensions within twelve (12) months from the date of the SC's approval letter. As disclosed in our announcement dated 2 May 2014, the SC had, via its letter dated 30 April 2014, approved our application for an extension of time of twelve (12) months to 30 April 2015 to fulfil the condition imposed stated in the SC's approval letter. To rectify non-compliance relating to title On 9 October 2013, the Land Office of Johor Bahru had approved the change in the land use condition and on 6 January 2014, the title deed was issued to Solid. As the new title deed based on the change in land use condition has been issued to Solid, the Company has thus rectified the non-compliance relating to the title. In addition, for information purposes, Solid’s application for an extension of the original leasehold period of 60 years expiring 6 October 2034 to 99 years (i.e. to expire in 2073) has been put on hold to allow the Land Office to review the application and take into consideration other applications, which has been approved previously. To rectify non-compliance relating to the unapproved structures / extensions The appointed building consultant had submitted the amended building plans to MBJB (the amended building plans included amendments based on the comments and requirements made by the respective approving departments of MBJB) on 13 April 2014. On 18 June 2014, MBJB requested for additional information and documentation. The appointed building consultant is expected to furnish the additional information and documentation to MBJB by end October 2014. Thereafter, MBJB is expected to take approximately four (4) months to approve the amended building plans.   3. No 30, Persiaran Segambut Tengah, 51200 Kuala Lumpur Solid is to rectify all unapproved structures/ extensions (if any) within six (6) months from the date of the SC's approval letter. As disclosed in our announcement dated 21 August 2014, the SC had, via its letter dated 19 August 2014, approved our application for a further extension of time to 30 April 2015 to fulfil the condition imposed stated in the SC's approval letter. On the proposed acquisition of the Amari Property, Tan & Sons Development Sdn Bhd (being the Vendor) had on 22 July 2014 submitted an application for consent to the State Authority for the transfer of ownership for The Property to Solid Corporation Sdn Bhd, a subsidiary of Solid. The State Authority is expected to take approximately up to six (6) months to grant the consent for the transfer of ownership of The Property.
