| Description | GOH BAN HUAT BERHAD (“GBH” or “the Company”) - ACQUSITION OF A SHELF COMPANY KNOWN AS EKSPRESI TEPAT SDN BHD (COMPANY NO. 1086875-T) |
The Board of Directors of GBH wishes to announce that the Company had today acquired the entire issued and paid-up share capital of a shelf private limited company incorporated in Malaysia under the Companies Act 1965, known as Ekspresi Tepat Sdn Bhd (Company No. 1086875-T) (“ETSB”) for a total cash consideration of RM2.00 (“the Acquisition”).
ETSB was incorporated on 31 March 2014. It has not commenced operations since the date of incorporation.
The authorised share capital of ETSB is RM400,000 comprising of 400,000 ordinary shares of RM1.00 each while its issued share capital consists of 2 ordinary shares of RM1.00 each which have been fully paid-up.
The Acquisition is not expected to have any material effect on the earnings per share, gearing and net assets per share of GBH.
None of the Directors and/or major shareholders of the Company or persons connected with them have any interest, direct or indirect, in ETSB.
Following the Acquisition, ETSB has become a wholly-owned subsidiary of GBH.
