We refer to our announcements dated 18 June 2014 and 23 June 2014 in relation to the Proposals (“Announcements”). Unless otherwise defined, the definitions set out in the Announcements shall apply herein.

On behalf of the Board, TA Securities wishes to announce that Bursa Securities had, vide its letter dated 8 July 2014, approved the following:

(i) Admission to the Official List and the listing and quotation of up to 332,689,500 Warrants to be issued pursuant to the Proposed Rights Issue of Shares with Warrants;

(ii) Listing of up to 332,689,500 Rights Shares; and

(iii) Listing of up to 332,689,500 new MRB Shares to be issued pursuant to the exercise of the Warrants.

The Rights Shares and Warrants will be listed simultaneously.

The approval granted by Bursa Securities for the above is subject to the following conditions:

(i) MRB and TA Securities must fully comply with the relevant provisions under the Main Market Listing Requirements of Bursa Securities (“LR”) pertaining to the implementation of the Proposed Rights Issue of Shares with Warrants;

(ii) MRB and TA Securities to inform Bursa Securities upon the completion of the Proposed Rights Issue of Shares with Warrants;

(iii) MRB to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Rights Issue of Share with Warrants is completed; and

(iv) Payment of additional listing fees pertaining to the exercise of Warrants. In this respect, MRB is required to furnish Bursa Securities on a quarterly basis a summary of the total number of shares listed pursuant to the exercise of Warrants as at the end of a quarter together with details of computation of listing fees payable.

The above amount of which by way of aggregation, has exceeded the prescribed limit of RM1 million in respect of recurrent transactions entered into by the Group and its subsidiary company with related party from 1 April 2013 to 7 July 2014.

Nature of RRPTs

The RRPTs entered into by the Group and its subsidiary company are in the ordinary course of business and are of revenue and trading in nature. These transactions are made on an arm's length basis and on normal commercial terms. These transactions are also not prejudicial to the interest of the shareholders and not more favourable to the Related Parties than those generally available to the public and are not detrimental to the minority shareholders.

Rationale for the transactions

GPMI principal activities are of design and manufacturing of jewellery. By selling its products to Schofer, GPMI is taking advantage of Schofer’s network in Germany to market its product in the European market.

GPMI is buying gold as its raw material and certain manufacturing tools from Schofer to manufacture its jewelleries.

Details of the transaction prices

The transactions, which are in the ordinary course of the TCB Group’s business, are undertaken at the prevailing prices or market rates of the products and are based on usual commercial terms not more favourable to the related party than those generally available to the public, or otherwise in accordance with the applicable industry norms. Where there is no market value for a particular transaction, the transaction will be on a willing buyer willing seller basis or the nearest equivalent.

The effect of the transactions on the earnings per share and net assets per share of TCB

The transactions have no material effect to the earnings per share and net assets per share of TCB.

Whether the transactions are subject to the approval of shareholders and the relevant government authorities

The recurrent related party transactions do not require any approval from shareholders and relevant government authorities.

Statement by Directors

The Board of Directors of TCB, have considered all aspects of the transactions and is of the opinion that the transactions are established under normal commercial terms and are in the best interest of the Company and not to the detriment of the minority shareholders.
