On behalf of Gamuda, CIMB Investment Bank Berhad (“CIMB”) wishes to announce that the share purchase agreement between Gamuda and Permodalan Nasional Berhad (“PNB”) for the acquisition of the entire 20% equity interest in Kesas Holdings held by PNB for a total purchase consideration of RM290 million was completed today. Gamuda has also on even date submitted an application to the Securities Commission (“SC”) to seek an exemption under Paragraph 20.1 of Practice Note 9 of the Malaysian Code of Take-Overs and Mergers, 2010 (“Proposed Exemption”) from undertaking the mandatory take-over offer to the remaining shareholder of Kesas Holdings for the remaining ordinary shares of RM1.00 each (“Kesas Holdings Shares”) and non-cumulative redeemable preference shares of RM1.00 each (“Kesas Holdings RPS”) in Kesas Holdings not already held by Gamuda for a cash offer price of RM3.080 for each Kesas Holdings Share and each Kesas Holdings RPS (“Revised Offer”).
