We refer to the circular to shareholders dated 27 March 2013 (“Circular”) and the subsequent announcements dated 18 April 2013, 23 April 2013, 31 May 2013, 19 August 2013, 13 December 2013, 21 February 2014 and 11 March 2014 in relation to the Proposed Merger. Unless otherwise stated, the definitions used throughout this announcement shall have the same meaning as defined in the Circular. On behalf of the Board of Directors of Scope (“Board”), AmInvestment Bank Berhad wishes to announce that the conditions precedent of the Business Merger Agreement dated 19 November 2012 have not been fulfilled on 18 May 2014 (i.e. being the extended cut-off date). Scope had on 12 May 2014 written to Matang to seek for an extension of time to facilitate further re-negotiations of the terms of the Proposed Merger. The Board shall make the relevant announcement upon receipt of Matang's reply.
