For consistency, the abbreviations used throughout this announcement are the same as those previously defined in the announcement made on 16 May 2014 (“Announcement”).

With reference to the Announcement in relation to the issuance and payment of 19,333,000 Consideration Shares and RM4,833,375 to Prizeman International Ltd’s (“Prizeman”) shareholders in equal proportion to their respective equity interest of 50% each, instead of directly to Prizeman (as set out in Section 3.2 of the Circular dated 7 April 2014) (“Variation”), we wish to inform that this is because of the difficulties faced by Prizeman in opening a bank account in Malaysia due to it being a BVI incorporated company. Hence to expedite the completion of the Proposed Acquisition, the parties to the transaction had concurred to the Variation.
