The notification of dissolution which was issued by the Germany Commercial Register, was received by Sime Darby Plantation Sdn Bhd, a direct wholly-owned subsidiary of Sime Darby, on 21 March 2014. The dissolution of PT will not have a material effect on the earnings or net assets of the Sime Darby Group for the financial year ending 30 June 2014. None of the directors or substantial shareholders of Sime Darby or persons connected to them has any interest, direct or indirect, in the said dissolution. The Company wishes to inform that RHB Investment Bank Berhad (“RHB IB”) as the Facility Agent for the Murabahah Medium Term Notes Programme (“MMTN Programme”) under its wholly-owned subsidiary, Perwaja Steel Sdn Bhd (“PSSB”), has made an announcement on FAST website that PSSB will not be able to make coupon payment for the MMTN Programme due on 25 March 2014. The coupon payment amounts to RM2.85 million. Please refer to the Company’s announcement on 26 November 2013 whereby the Company has disclosed PSSB’s inability to repay the principal amount due of RM50.0 million for the MMTN Programme. PHB Group is currently working out a restructuring scheme with its financial lenders and creditors, and will make the necessary announcement on the regularisation plan in accordance with the requirements under the PN17.
