Resignation of Ms. Liu Wing Yee Amy as Nomination Committee member. 2. Appointment of Mr. Leung Kwok Kuen Jacob as Nomination Committee member. 3. Resignation of Mr. Yip Wai Man Raymond as Remuneration Committee member. 4. Appointment of Ms. Liu Wing Yee Amy and Mr. Tsui Kwok Ho as Remuneration Committee members. The Board of Directors of MHB wishes to announce that Pembinaan Mitrajaya Sdn Bhd (PMJ) and Mitrajaya Homes Sdn Bhd (MHSB), both wholly owned subsidiary companies of MHB have entered into transactions with Mitrajaya Trading Sdn Bhd (MTSB), a related party to purchase wire mesh, painting materials and hardware (RRPT) and the aggregate value of the transactions in the past 12 months amounting to RM3,527,849 representing the percentage ratio of 1.056%.
The principal activities of the following companies are as follows: PMJ - civil engineering, building and road construction works MHSB - construction works and property development MTSB - Trading of construction materials and rent of premises The RRPT were entered into during the ordinary course of business and are carried out at arm's length basis on normal commercial terms which are not in detriment to the interest of the shareholders and not more favourable to the Related Parties than those generally available to the public. MTSB has long standing business relationship with the MHB Group. The close co-operation between MHB Group and MTSB has reaped mutual benefits and is expected to continue to be of benefit to the business of the Group. Financial Effects of the RRPT
Directors and Major Shareholders' interests Mr Tan Eng Piow who is the Managing Director and Major Shareholder of MHB is also a director and major shareholder of MTSB. He had abstained from deliberation and voting on the RRPT. Other than Mr Tan Eng Piow, none of the other directors, major shareholders and/or persons connected with them have any interest, direct or indirect in the RRPT. Directors' Statement Save for Mr Tan Eng Piow, the other members of the MHB Board are of the opinion that the RRPT is in the best interest of MHB Group.
