1. INTRODUCTION The Board of Directors of Borneo Oil Berhad ("BOB") is pleased to announce that its wholly-owned subsidiary , Borneo Oil & Gas Corporation Sdn Bhd ("BOG") has been appointed by Champmark Sdn Bhd ("CSB") on 14th March 2014 ("Sub Contract") as its contractor to carry out prospecting and mining of alluvial and lode gold on an exclucive basis on an area covering 400 acres under mining lease (P.T.L PL 013/2004) ("Mining Area") located at Mukim Batu Yon , District of Lipis, Pahang. The said Mining Area was contracted to CSB by MMC Corporation Bhd which had leased it from Perbadanan Kemajuan Negeri Pahang on a sole and exclusive right basis, to carry out the prospecting and mining of minerals. 2. DURATION OF THE SUB CONTRACT The Sub-Contract Agreement is for a period of five (5) years and renewal for another five (5) years. 3. THE EFFECT ON EARNINGS AND NET ASSETS OF THE GROUP This sub-contract is expected to contribute positively to the future earnings and enhance the net assets of the Group. 4. RISK FACTORS Risks factors affecting the Sub-Contract include but are not limited to execution risks such as availability of skilled manpower and raw materials, changes in prices of gold and in economic environments. BOB will take all necessary measures to mitigate the various risk factors identified. 5. FINANCIAL EFFECTS The Sub-Contract will not have any material effect on BOB's issued and paid up share capital and its substantial shareholders' shareholdings for the financial year ended 31st January 2015. 6. APPROVALS REQUIRED The Sub-Contract is not subject to approval of the shareholders of BOB. 7. DIRECTORS' AND MAJOR SHAREHOLDERS' INTEREST None of the directors or major shareholders of BOB or persons connected to them have any interest, direct and indirect, in the above Sub-Contract. 8. DIRECTORS' STATEMENT The Board of Directors of BOB is of the opinion that the entering into of this Sub-Contract is in the best interest of the Company.
