Description	DPS RESOURCES BERHAD ("DPS" OR THE "COMPANY") - PROPOSED CHANGE OF AUDITORS
The Board of Directors of DPS Resources Berhad ("DPS" or "the Company") wishes to announce that the auditors, Messrs. McMillan Woods Mea (AF 1995) had on 24 February 2014 given notice in writing to the Company of their intention to resign as the auditors of the Company which the Company received on 26 February 2014. Messrs. McMillan Woods Mea (AF 1995) is resigning as Auditors of the Company as they have decided not to renew their registration with the Audit Oversight Board (“AOB”) when it expires shortly. Without the AOB registration, Messrs. McMillan Woods Mea (AF1995) would not be able to undertake the audit of DPS. Pursuant to Section 172(15) of the Companies Act 1965, their resignation will only take effect on the appointment of another auditors. The Board of Directors also wishes to inform that the Company is not aware of any matters that need to be brought to the attention of the shareholders. On 26 February 2014, the Company has received a notice of nomination from Datuk Dr. Sow Chin Chuan, a substantial shareholder of the Company for the proposed nomination of Messrs. UHY (AF 1411) as the auditors of the Company for the financial year ended 31 March 2014 in place of the resigning auditors, Messrs. McMillan Woods Mea (AF 1995) and to hold office until the conclusion of the next Annual General Meeting of the Company at a remuneration to be fixed by the Directors. ("Proposed Change of Auditors") The Proposed Change of Auditors is subject to and conditional upon approval being obtained from the shareholders at an Extraordinary General Meeting ("EGM") to be convened. A circular containing the details and information of the Proposed Change of Auditors together with the Notice of EGM will be despatched to the shareholders of the Company in due course. This announcement is dated 26 February 2014.
