We refer to the announcements dated 17 October 2013 and 19 November 2013 in relation to the Proposals. On behalf of the Board of Directors of LBB, Hong Leong Investment Bank Berhad (“HLIB”) wishes to announce that Bursa Malaysia Securities Berhad (“Bursa Securities”) had, via its letter dated 27 November 2013, approved the listing of new ordinary shares of RM1.00 each, representing up to 15% of the issued and paid-up ordinary share capital of LBB, to be issued pursuant to the exercise of options under the Proposed New ESOS. The approval of Bursa Securities is subject to the following: (a) HLIB
is required to submit a confirmation to Bursa Securities of full compliance of
the Proposed New ESOS pursuant to paragraph 6.43(1) of the Main Market Listing Requirements of Bursa Securities and stating the effective date of
implementation together with a certified true copy of the resolution passed by
the shareholders in a general meeting approving the Proposed New ESOS; and
(b) LBB is required to furnish Bursa Securities on a quarterly basis a summary of the total number of shares listed pursuant to the exercise of options under the Proposed New ESOS as at the end of each quarter together with a detailed computation of listing fees payable. |

Working experience and occupation | He started his career in 1975 in the public sector having attached to the Economic Planning Unit, Ministry of Finance. While in CIMB Bank, he served in various capacities in high level committees namely, Chairman of Branch Reconfiguration Committee, Member of Credit Committee and Member of Audit Committee. Mustafa left CIMB under a voluntary separation scheme in 2006 to venture into business. In 2005, he was bestowed with Jiwa Mahkota Kelantan by the Sultan of Kelantan. |
