Bursa Malaysia Securities Berhad has on 7 October 2013 issued an UMA query on the recent sharp fall in price in SERSOL’s securities.
In this respect, investors are advised to take note of the Company’s reply to the above UMA query which will be posted at Bursa Malaysia’s website under the company announcements, http://announcements.bursamalaysia.com when making their investment decision.
The contents of the UMA query is as follows:-
We draw your attention to the sharp fall in price of your Company’s securities recently ("trading activity").
In light of the above and in order for investors to be able to make informed investment decisions, you are requested to respond, after making due enquiry with your directors, major shareholders and such other relevant persons, to the following queries immediately for public release in accordance with Rule 9.11 of ACE Market Listing Requirements ("LR"):-
1. whether there is any corporate development relating to your Group’s business and affairs that has not been previously announced that may account for the trading activity including those in the stage of negotiation/discussion. If yes, kindly provide the details including status of the corporate development to enable investors to make informed investment decision;
2. whether there is any rumour or report concerning the business and affairs of the Group that may account for the trading activity and in this respect, you are required to comply with Rules 9.09 and 9.10 of the LR;
3. whether you are aware of any other possible explanation to account for the trading activity; and
4. whether you are in compliance with the LR, in particular Rule 9.03 of the LR on immediate disclosure obligations.

On behalf of the Board of Directors of Tanco, Public Investment Bank Berhad (“PIVB”) is pleased to announce that Bursa Malaysia Securities Berhad (“Bursa Securities”) had, vide its letter dated 4 October 2013 approved the following: (i) admission to the Official List and the listing and quotation of the Rights ICULS to be issued pursuant to the Proposed Rights Issue of ICULS; (ii) listing of and quotation for up to 334,886,726 new ordinary shares of RM0.20 each to be issued pursuant to the exercise of the ICULS; and (iii) listing of such number of additional new ordinary shares of RM0.20 each, of up to 15% of the issued and paid-up share capital of Tanco (excluding treasury shares), to be issued pursuant to the exercise of options under the Proposed SIS. The approval by Bursa Securities for the above Proposed Rights Issue of ICULS and Proposed SIS is subject to the following conditions: (i) Tanco and its advisers must fully comply with the relavant provisions under the Main Market Listing Requirements of Bursa Securities (“Listing Requirements”) pertaining to the implementation of the Proposals; (ii) Tanco and its adviser to inform Bursa Securities upon the completion of the Proposals; (iii) Tanco to furnish to Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposals are completed; (iv) Tanco is required to furnish Bursa Securities on a quarterly basis a summary of the total number of shares listed pursuant to the exercise of the ICULS and SIS, as at the end of each quarter together with a detailed computation of listing fees payable; (v) To incorporate the comments made in the circular to shareholders provided in the attachment of the Bursa Securities’ letter of approval; (vi) Tanco to furnish Bursa Securities with a copy of the approval letter from the Securities Commission (Private Debt Securities) for the issuance of the ICULS; (vii) The adviser is required to submit a confirmation to Bursa Securities of full compliance of the Proposed SIS pursuant to Paragraph 6.43(1) of the Listing Requirements and stating the effective date of implementation.
