Remarks :- The SCR entails a selective capital reduction and a corresponding capital repayment exercise under Section 64 of the Companies Act, 1965 which will result in the reduction of the enlarged issued and paid-up share capital of Ya Horng Electronic (M) Berhad (“YHE” or the “Company”) to RM20,994,360 comprising 20,994,360 ordinary shares of RM1.00 each (“YHE Shares”) by way of cancellation of each existing YHE Share other than 20,994,360 YHE Shares held by Mr Hsu, Wen-Ting @ Wensday Sheu, Mr Huang, Chin-I @ J.Y. Huang and Mr Hong, Hsu-Liang (collectively referred to as the “Non-Entitled Shareholders”).
Pursuant to the SCR, all the shareholders of YHE other than the Non-Entitled Shareholders whose names appear on the Record of Depositors of YHE at the close of business at 5.00 p.m. on Tuesday, 12 November 2013 (“Entitlement Date”) shall be entitled to receive a cash repayment of RM1.10 for each existing YHE Share held. The Non-Entitled Shareholders will waive their entitlements to the repayment of capital pursuant to the SCR. The capital repayment is expected to be made within ten (10) days from the Entitlement Date.
YHE will be de-listed and withdrawn from the Official List of Bursa Malaysia Securities Berhad (“Bursa Securities”) after the completion of the SCR.
The trading of YHE Shares on the Main Market of Bursa Securities will be suspended with effect from 9.00 a.m. on Wednesday, 6 November 2013, being three (3) clear market days prior to the Entitlement Date. Accordingly, the last day for trading of YHE Shares on the Main Market of Bursa Securities prior to the suspension will be 5.00 p.m. on Monday, 4 November 2013. The YHE Shares will no longer be traded on the official list of Bursa Securities (“Official List”) after the trading of YHE Shares is suspended on Wednesday, 6 November 2013. For the avoidance of doubt, the trading of YHE Shares will continue to be suspended with effect from 9.00 a.m. on Wednesday, 6 November 2013 until the removal of YHE from the Official List.
The notice to shareholders in relation to the suspension of trading of YHE Shares and the Entitlement Date will be despatched to YHE's shareholders on Tuesday, 29 October 2013.
