1. INTRODUCTION The Board of Directors of PPB (“Board”) wishes to announce that PPB Leisure Holdings Sdn Bhd (“PPBL”), a wholly-owned subsidiary of PPB, has on 28 August 2013 acquired the entire issued and paid up capital of USD2.00 in GSCV for a total cash consideration of USD2.00 (“Acquisition”). Arising from the Acquisition, GSCV has become an indirect 100%-owned subsidiary of PPB.
2. INFORMATION ON GSC VIETNAM GSCV was incorporated on 19 July 2013 in the Federal Territory of Labuan, Malaysia as a private limited company. The present issued and paid-up share capital of GSCV is USD2.00 comprising 2 ordinary shares of USD1.00 each. GSCV has not commenced business operations; the intended principal activity of GSCV is investment in film distribution and exhibition operations in Vietnam.
3. EFFECTS OF THE ACQUISITION 3.1 Share capital The Acquisition does not have any effect on the share capital and shareholding structure of PPB. 3.2 Net assets The Acquisition does not have a material effect on the net assets of the PPB Group based on its latest audited consolidated statement of financial position as at 31 December 2012. 3.3 Earnings The Acquisition is not expected to have a material effect on the earnings of the PPB Group for the financial year ending 31 December 2013. 4. INTERESTS OF DIRECTORS, MAJOR SHAREHOLDERS AND PERSONS CONNECTED WITH THEM None of the Directors or major shareholders of PPB or persons connected with them has any interest, direct or indirect, in the Acquisition.

The approval of the incorporation of SDKT issued by the Taipei City Government was received by Sime Darby Auto Bavaria Sdn Bhd (formerly known as Sime Darby Motor Division Sdn Bhd), an indirect wholly-owned subsidiary of Sime Darby, on 26 August 2013. SDKT was incorporated as a company limited by shares with an authorised share capital of NT$300,000,000 divided into 30,000,000 common shares of NT$10 each, of which 500,000 common shares of NT$10 each have been issued and fully paid-up. The entire issued and paid-up share capital of SDKT of NT$5,000,000 (approximately RM537,100) was subscribed and held by Sime Darby Motor Group (Taiwan) Sdn. Bhd. (formerly known as Hyundai-Sime Darby Engine Manufacturing Sdn. Bhd.), an indirect wholly-owned subsidiary of Sime Darby. The principal activities of SDKT are in the distributorship and retail of vehicles, parts and accessories and repairs and maintenance of vehicles and other automotive services. The incorporation of SDKT is not expected to have a material effect on the earnings or net assets of the Sime Darby Group for the financial year ending 30 June 2014. None of the directors or substantial shareholders of Sime Darby or persons connected to them has any interest, direct or indirect, in the said incorporation.
