The Board of Directors of Tan Chong Motor Holdings Berhad ("TCMH" or "the Company") is pleased to announce that the Group has incorporated two new subsidiaries namely TC Express Auto Services & Spare Parts (Myanmar) Company Limited ["TCEAS (Myanmar)"] and ETCM (Myanmar) Company Limited ["ETCM (Myanmar)"] on 22 March 2013 in Myanmar under the Myanmar Companies Act. The permanent Certificates of Incorporation for TCEAS (Myanmar) and ETCM (Myanmar) were issued by the Ministry of National Planning and Economic Development of Myanmar on 9 July 2013 and 23 July 2013 and received by the Company on 25 July 2013 and 26 July 2013 respectively. The capital contribution by TCEAS (Labuan) and ETCM (MM) in TCEAS (Myanmar) and ETCM (Myanmar) respectively were and will be funded by TCMH Group from its internal sources. The incorporation of TCEAS (Myanmar) and ETCM (Myanmar) is in expansion of the Group’s automotive business into ASEAN region following the Group’s earlier venture in automotive business in Cambodia, Laos, Thailand and Vietnam. TCEAS (Myanmar) and ETCM (Myanmar) are expected to commence operation in the second half of 2013. None of the Directors and/or substantial shareholders of the Company and persons connected with them, has any interest, direct or indirect, in the incorporation of TCEAS (Myanmar) and ETCM (Myanmar). The incorporation of the above new subsidiaries has no material effect on the earnings, gearing and net assets of the Group for the financial year ending 31 December 2013.
