Description	GUARANTEED PROFIT OF PESONA METRO SDN BHD GROUP
Reference is made to acquisition of the entire equity interest in Pesona Metro Sdn Bhd (PMSB) which was completed on 12 September 2012, the details of which were fully disclosed in the Explanatory Statement-cum-Circular to Shareholders dated 11 July 2012. Under the terms of the aforesaid acquisition. the vendors of PMSB namely Mr Wie Hock Beng and Mdm Chak May Teng (" the Vendors"), shall unconditionally and irrevocably represent, guarantee and warrant to Pesona Metro Holdings Berhad (" the Company") that the audited Profit After Tax ("PAT") of PMSB Group shall not be less than RM15 million for the financial year ended 31 December 2012 (" Guaranteed Profit"). The Auditors of the Company, Messrs UHY Chartered Accountants has vide their letter dated 17 April 2013 ( received by the Company on 23 April 2013), confirmed as follows:- a) PAT of PMSB for the financial year ended 31 December 2012 is RM16,744,943; and b) Net Assets ( before dividend declared and paid of RM11 million ) as at 31 December 2012 is RM49,341,924. Following the above confirmation , the Company is pleased to inform that the Guaranteed Profit has been fulfilled by the Vendors.
