DescriptionSUPPORTIVE INTERNATIONAL HOLDINGS BERHAD (“SIHB” or the “Company”)
• ACQUISITION OF A LAND BY SUPPORTIVE DEVELOPMENT SDN. BHD., A 60%-OWNED SUBSIDIARY OF SIHB (THE “ACQUISITION”) AT A TOTAL CONSIDERATION OF RM11,712,720.46

Unless stated otherwise, definitions used in this announcement shall carry the same meaning as defined in the announcement dated March 7, 2013 in relation to the Acquisition.

Further to the announcement made on March 7, 2013, the Board of Directors of SIHB wishes to inform/clarify the following:-

a. The basis in arriving at RM95-RM100 per square feet by the Professional Valuer

The basis in arriving at RM95-RM100 per square feet was verballed quoted by a Professional Valuer based on the land area and location of the land.

b. The Termination or Refund Clauses of the Agreement and the consequential rights and obligations of all parties in event of Termination

(Termination or Refund Clauses extracted from the Agreement)

1) If the Purchaser(s) shall fail to pay the Balance Purchase Price or any part thereof by the time(s) and in the manner stipulated in Section 11 and 12 of the First Schedule of the Sale and Purchase Agreement provided that the Vendor has complied with all terms stipulated herein, the amount stipulated in Section 15 of the First Schedule of the Sale and Purchase Agreement shall be forfeited absolutely to the Vendor(s) as agreed liquidated damages. The Vendor(s) shall at the time of such forfeiture refund to the Purchaser(s) any balance money paid by the Purchaser(s) to the Vendor(s) or the Vendor(s)’ Financier for redemption purposes free of interest whereupon this Agreement shall become null and void and of no further legal effect and neither of the parties hereto shall have any claim whatsoever against the other under or in respect of this Agreement. The Purchaser shall immediately return to the Vendor or the Vendor(s)’ Solicitors any documents belonging to the Vendor intact and the title free of encumbrances in favour of the Vendor and remove any caveats filed by the Purchaser on the said Property on the said Property at his own costs and expense. The Vendor(s) shall have the right to re-sell the Property to such person in such manner at such price and on such terms as the Vendor(s) may think fit and the Purchaser(s) shall have no right to any part of the purchase money thereby arising.

2) If the Vendor(s) shall fail to perform his covenants herein contained or in the event that this sale cannot be completed due to the reason(s) contributable to the Vendor(s), the Purchaser(s) shall be entitled to the remedy in the law for specific performance and/or damages and all reliefs flowing therefrom without prejudice to any other rights or remedies that may be available to the Purchaser(s) in respect of any other default by the Vendor(s) of his obligations herein. Alternatively, the Purchaser(s) is entitled to terminate this Agreement. In the event of termination the Vendor(s) shall refund to the Purchaser(s) all moneys howsoever paid by the Purchaser(s) to the Vendor(s) (or to the Vendor(s)' Financier as the case may be) together with liquidated damages equivalent to ten percent (10%) of the Purchase Price to be paid to the Purchaser(s) and thereafter the Purchaser(s) shall return all documents belonging to the Vendor(s) intact together with the title deed and shall remove any caveat filed by the Purchaser(s) at the Purchaser(s)’ own costs and expense then neither party shall have any rights, interest and or claim against the other save for any antecedent breach of the terms herein.

3) (a) In the event that the said Property cannot be registered in favour of the Purchaser(s) free from encumbrances due to reason not attributable to the fault of the Parties the Vendor(s) shall use their best endeavour to perfect the transfer. Alternatively, the Purchaser(s) may choose to terminate this Agreement and the Vendor(s) shall refund to the Purchaser(s) the Deposit free of interest and such part of the Purchase Price that has been paid by the Purchaser(s) within Seven (7) days from the date of such termination and neither party hereto shall have any further claim against the other.

(b) In the event of termination, the Purchaser(s) shall return/redeliver to the Vendor(s):-

i. possession of the said Property (if possession has been delivered to the Purchaser) without any rental or compensation being payable to the Vendor(s) for the period that the Purchaser(s) had possession; and

ii. all relevant documents necessary to effect registration of the Transfer (if the same or any has been delivered to the Purchaser(s))

and the Purchaser(s)’ Solicitors shall forthwith present the Notice of Withdrawal of Private Caveat referred to in Clause 3 for registration.
