IJM Trichy (Mauritius) Limited (“IJMTM”) has on 4 March 2013 entered into a Share Purchase Agreement (“SPA”) to dispose of 59,302,209 equity shares of Indian Rupees 10 each (“Shares”), representing 35.6% of the issued and paid-up equity share capital of Trichy Tollway Private Limited (“TTPL”), to Macquarie SBI Infrastructure Investments Pte Limited (“MSIF”) for a total consideration of INR1,074.6 million (about RM60.1 million) (“Disposal”). The gain from the Disposal is approximately RM52 million, after taking into consideration the fair value of IJMTM’s remaining interest in TTPL. The total consideration of the Disposal was arrived at on a willing-buyer-willing seller basis after taking into consideration the discounted future cash flow of the Project. At the completion date of the Disposal, TTPL will increase its share capital by issuing additional 14,488,889 Shares to MSIF and SBI Macquarie Infrastructure Trustee Private Limited (as trustee for SBI Macquarie Infrastructure Trust). IJMTM is a wholly-owned subsidiary of IJM Investments (M) Limited, which in turn is a wholly-owned subsidiary of the Company. None of the Directors or major shareholders of the Company, or persons connected with them, has any interest, direct or indirect, in the Disposal and no approval of shareholders is required.
