The Board of Alliance Financial Group Berhad (“AFG” or “the Company”) wishes to announce that ABMB, a wholly-owned subsidiary of AFG, has entered into a conditional Share Sale Agreement with American International Assurance Berhad (“AIA”) on 11 March 2013 for the disposal of its 30% equity interest in AIA AFG Takaful Berhad comprising 30,000,000 ordinary shares of RM1.00 each fully paid for a total cash consideration of RM45 million (“The Disposal”). AIA AFG Takaful Berhad was incorporated on 6 December 2010 with an authorised share capital of RM200,000,000 divided into 200,000,000 ordinary shares of RM1.00 each and an issued and paid-up share capital of RM100,000,000 comprising 100,000,000 ordinary shares of RM1.00 each fully paid. The principal activity of AIA AFG Takaful Berhad is to carry out family takaful business. The Disposal is not expected to have any material effect on the net assets per share, earnings per share and gearing of AFG for the financial year ending 31 March 2013. Save for Dato’ Thomas Mun Lung Lee, who is a common director of AFG and AIA, none of the Directors and/or major shareholders of the Company and/or persons connected to them have any interest, direct or indirect, in the Disposal.
