The Board of Directors of EIG wishes to announce that the Company has on 19 October 2012 received a notice of unconditional mandatory take-over offer (“Notice”) from Maybank Investment Bank Berhad, on behalf of Providence Capital Sdn Bhd (“PCSB” or “Offeror”), to acquire the following: (i)�� �all the remaining ordinary shares of RM0.50 each in EIG (“EIG Shares”) not already owned by the Offeror and the persons acting in concert with it (“PACs”); (ii)�� �all the outstanding warrants 2012/2017 issued by EIG (“Warrants”) not already owned by the Offeror and the PACs (“Offer Warrants”); and (iii)�� �all the new EIG Shares that may be issued prior to the closing date of the Offer (as defined below) arising from the exercise of outstanding Warrants, for a cash offer price of RM0.50 per EIG Share (“Shares Offer”) and RM0.12 per Offer Warrant (“Warrants Offer”) respectively. The Shares Offer and the Warrants Offer are to be collectively referred to as the “Offer”. All the remaining EIG Shares not already owned by the Offeror and the PACs and all the new EIG Shares that may be issued prior to the closing date of the Offer arising from the exercise of outstanding Warrants shall be collectively referred to as “Offer Shares”. The Offer Shares and Offer Warrants are to be collectively referred to as “Offer Securities”. The Board of Directors of EIG (save for Eddy Chieng Ing Huong, Roderick Chieng Ngee Kai and Brian Chieng Ngee Wen (collectively, the “Interested Directors”)) (“Non-Interested Directors”) confirm that they do not intend to seek an alternative person to make a take-over offer for the Offer Securities. Eddy Chieng Ing Huong is deemed interested in the Offer by virtue of him being a director of PCSB and a deemed major shareholder of PCSB. Roderick Chieng Ngee Kai and Brian Chieng Ngee Wen are deemed interested in the Offer by virtue of them being directors and major shareholders of PCSB with 50% equity interest each. The Interested Directors have abstained and will continue to abstain from deliberating and voting at all relevant board meetings of the Board of Directors of EIG in relation to the Offer. In accordance with the Malaysian Code on Take-Overs and Mergers, 2010, the Non-Interested Directors will appoint an independent adviser to advise the Non-Interested Directors and holders of the Offer Securities (“Holders”) in relation to the Offer (“Independent Adviser”). The appointment of the Independent Adviser will be announced later. Holders are advised not to take any action until receipt of the Independent Advice Circular to be issued by the Independent Adviser.
