On behalf of the Board of Directors of Seal Incorporated Berhad ("SEAL" or "the Company"), we wish to announce that Great Eastern Mills Berhad ("GEM" or "Seller"), a subsidiary of SEAL had on 11 December 2012 entered into a Sale and Purchase of Assets Agreement ("SPA") with GEM's shareholder, Kompleks Perkayuan Kelantan Sdn Bhd ("KPK" or "Purchaser") to dispose off the following assets to KPK for a total consideration of RM8,500,000/- ("Purchase Consideration"): a) two million (2,000,000) ordinary shares of RM1.00 each in Kelantan Lumber Products Sdn. Berhad (Company No. 46025-H) ("KLP"), a wholly-owned subsidiary company of GEM, which represents the entire issued and paid-up shares in KLP ("Sale Shares"). The Seller also acknowledges that the Company is the holder of sawmill license which is granted by Jabatan Perhutanan Negeri Kelantan; and b) a piece of leasehold land held under H.S.(D) 7897, PT 3976, Mukim Kuala Nal, Daerah Batu Mengkebang, Jajahan Kuala Krai, Kuala Nal, Kelantan Darul Naim measuring approximately thirty (30) acres ("Land") which is presently charged in favour of SEAL. We refer to our earlier announcements dated 10 August 2012, 28 August 2012, 30 August 2012, 2 October 2012, 15 October 2012 and 18 October 2012 respectively. On behalf of the Board of Directors of Seal Incorporated Berhad ("SEAL" or "the Company"), we wish to announce that its subsidiary, Great Eastern Mills Berhad ("GEM") had on 11 December 2012 entered into a Settlement Agreement with GEM's shareholder, Kompleks Perkayuan Kelantan Sdn Bhd ("KPK") and Timber Employee Union, Peninsular Malaysia ("the Trade Union") to settle the Trade Union's claim against GEM of the sum of RM4,976,531.18 ("Trade Union Debt") upon the following terms and such other conditions as stated in the Settlement Agreement: i) KPK has agreed to assume the Trade Union Debt on behalf of GEM in consideration of GEM renouncing in favour of KPK its right absolutely over a logging concession right over lands measuring approximately 7,049 acres which was granted by the Perbadanan Kemajuan Iktisad Negeri Kelantan ("PKINK") pursuant to an agreement dated 14 March 2004 and upon the rescission of the Supplemental Agreement between GEM and Trade Union dated 20 August 2008 ("Concession Right"); ii) In consideration of KPK's agreement to assume and settle the Trade Union Debt on behalf of GEM, the Trade Union hereby agrees: ��� a) not later than seven (7) business days from the date of the Settlement Agreement, to withdraw the winding-up petition or any other claim, suit, demand or any other�legal proceeding whatsoever initiated by the Trade Union against GEM in relation to the Trade Union Debt with no liberty to file afresh against GEM and with no order to the costs; and �� b) not to institute any legal proceeding against GEM in respect of the Trade Union Debt for any reason whatsoever. iii) Upon the withdrawal of the winding-up�petition and for the removal of doubt, the supplemental agreement between GEM and the Trade Union�dated 20 August 2008 shall be deemed rescinded free from any claims and liabilities. For the avoidance of doubt,�the Settlement�Agreement shall record the final terms and supersede any previous agreement entered into or agreed upon between GEM and the Trade Union in relation to the settlement of the Trade Union Debt.�GEM, KPK and the Trade Union�further agree that pursuant to the execution of�the�Settlement�Agreement, any previous court order or award granted with regard to the settlement of the Trade Union Debt shall cease to be enforceable.
