The Board of Directors of CHHB wishes to announce that CHHB and Encik Mohamed Rasidi Bin Harun have respectively on 2 November 2012 subscribed for additional 6,998 ("Subscription of Shares") and 3,000 ordinary shares of RM1.00 each in Tadika Sri Moral Sdn Bhd (formerly known as Eight Virtues Kindergarten Sdn Bhd) (formerly known as IMEC Education Services Sdn Bhd ("TSMSB"), an existing wholly-owned subsidiary of CHHB, for cash at par. TSMSB was incorporated on 9 February 2000 under the Companies Act, 1965 as a private limited company. TSMSB has an authorised share capital of RM100,000.00 divided into 100,000 ordinary shares of RM1.00 each. Its issued and fully paid up capital is RM2.00 comprising of 2 ordinary shares of RM1.00 each before the additional subscription. TSMSB's principal activity is to carry out educational services. TSMSB has on 2 November 2012 increased its issued and paid up share capital from RM2.00 to RM10,000.00 by an allotment of 9,998 ordinary shares of RM1.00 each. Following the Subscription of Shares, the equity interest of CHHB in TSMSB has been diluted from 100% to 70% while the equity interest of Encik Mohamed Rasidi Bin Harun in TSMSB is 30%. The Subscription of Shares in TSMSB by CHHB wll be financed via internally generated funds. The Directors of CHHB, after having considered all aspects of the Subscription of Shares, are of the opinion that the Subscription of Shares is in the best interest of CHHB Group and its shareholders. The Subscription of Shares has no material effect of the earnings per share, net assets per share, share capital and substantial shareholdings of the Company for the financial year ending 31 December 2012. None of the Directors and major shareholders of CHHB and/or persons connected with the Directors and/or major shareholders of CHHB have any interest, direct or indirect, in the Subscription of Shares. The Subscription of Shares is not subject to the approval of the shareholders or any other relevant authorities. This announcement is dated 5 November 2012. | |
